1. Acceptance of Terms

By using the services provided by BANZ Technologies ("Agency"), you signify your acceptance of these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Provided

Agency provides various digital services, including but not limited to Digital Marketing, Web Development, SEO, Social Media Management, AI Video Production, and WhatsApp Automation. The specific scope of work for each project will be outlined in a separate Service Agreement or Proposal.

3. Payment Terms

Unless otherwise agreed in writing:

• All prices are subject to applicable taxes (GST) as per Indian regulations.
• Payments must be made according to the schedule defined in the service proposal.
• Delayed payments may attract interest or lead to suspension of services.
• Invoices will be raised in Indian Rupees (INR) for domestic clients and USD/equivalent for international clients.

4. Intellectual Property

All original work created by the Agency for the Client (e.g., designs, code, copy) remains the property of the Agency until all outstanding invoices are paid in full. Upon full payment, the ownership of the final deliverables is transferred to the Client, while the Agency retains the right to showcase the work in its portfolio.

5. User Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access to third-party platforms (e.g., social media accounts, hosting) required for the Agency to perform its services.

6. WhatsApp and Automation Usage

Clients using our WhatsApp automation services must comply with all anti-spam regulations in India. The Agency is not liable for account suspensions resulting from Client misuse of these platforms or violation of WhatsApp's Commerce Policy.

7. Limitation of Liability

To the maximum extent permitted by Indian law, BANZ Technologies shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.

8. Termination

Either party may terminate the service agreement with a prior written notice as defined in the project-specific contract. Upon termination, the Client shall pay for all work completed up to the date of termination.

9. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala.
